1. Acceptance of Terms

By accessing or using EloaChat's customer service platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all visitors, users, agents, and others who access or use the Service.

2. Description of Service

EloaChat provides a real-time customer support widget and agent management platform that integrates with Telegram. Our Service includes:

• Customer Widget: An embeddable chat widget for websites that allows end-users to communicate with support agents in real-time.
• Agent Console: A Telegram-integrated management interface for support agents to respond to customer inquiries.
• Admin Dashboard: A management console for configuring service lines, managing agents, and monitoring chat activity.
• API and Integrations: Backend services that facilitate real-time communication via WebSocket connections.

3. Account Registration

3.1 Eligibility

You must be at least 16 years old and capable of forming a binding contract to use our Service. By using the Service, you represent and warrant that you meet these requirements.

3.2 Agent Accounts

Agent accounts are created through Telegram authentication. You are responsible for maintaining the security of your Telegram account and for all activities that occur under your agent profile. You must notify us immediately of any unauthorized use of your account.

3.3 Account Approval

Agent accounts require approval from the service line administrator. We reserve the right to refuse, suspend, or terminate any account at our discretion.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights.
• Transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
• Interfere with or disrupt the Service or servers or networks connected to the Service.
• Attempt to gain unauthorized access to any portion of the Service or any related systems.
• Use the Service to send spam, unsolicited messages, or automated bulk communications.
• Collect or harvest any personally identifiable information from other users without their consent.
• Use the Service for any illegal, fraudulent, or deceptive purpose.

5. Intellectual Property

5.1 Our Rights

The Service and its original content, features, and functionality are owned by EloaChat Inc. and are protected by international copyright, trademark, and other intellectual property laws. The EloaChat name, logo, and all related marks are trademarks of EloaChat Inc.

5.2 Your Content

You retain ownership of any content you submit through the Service, including chat messages and configuration data. By using the Service, you grant us a limited, non-exclusive license to process, store, and transmit your content solely for the purpose of providing the Service.

6. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance and updates.
• Emergency repairs or security patches.
• Factors beyond our reasonable control, including internet outages and force majeure events.

We will make reasonable efforts to notify users in advance of planned downtime.

7. Fees and Payment

Certain features of the Service may require a paid subscription. If you choose a paid plan:

• Fees are billed in advance on a monthly or annual basis, depending on the plan selected.
• All fees are non-refundable unless otherwise stated or required by applicable law.
• We reserve the right to modify our pricing with 30 days' notice to existing subscribers.
• Failure to pay may result in suspension or termination of your access to paid features.

8. Limitation of Liability

To the maximum extent permitted by applicable law, EloaChat Inc. and its directors, employees, partners, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to, use of, or inability to access or use the Service.
• Any conduct or content of any third party on the Service.
• Any content obtained from the Service.
• Unauthorized access, use, or alteration of your transmissions or content.

9. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or available at all times.

10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Singapore.

12. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
